SALE OF ASSETS OF
LEN-TRAN, INC., d/b/a TURNER TREE & LANDSCAPE
NOTICE IS HEREBY GIVEN that LEN-TRAN, INC., d/b/a TURNER TREE & LANDSCAPE, as debtor and debtor in possession (the “Debtor”), has sought the approval of the United States Bankruptcy Court for the Middle District of Florida, Tampa Division (the “Bankruptcy Court”), for the sale of substantially all of its assets and the assumption and assignment of certain contracts and leases (the “Sale”).
On September 16, 2016, the Debtor filed with the Bankruptcy Court a motion (the “Sale Motion”), seeking among other things, the authority of the Bankruptcy Court for the Debtor to sell, pursuant to an Asset Purchase Agreement executed September 16, 2016 (the “APA”) by and between the Debtor and Turner Landscape, Inc. (the “Purchaser”), the Assets (as defined in the APA), free and clear of all liens, claims, interests, and encumbrances, except for the encumbrances on the Encumbered Tangible Personal Property (as defined in the APA), to the Purchaser in exchange for $775,000.00 in cash, pursuant to the terms of the APA. The Sale Motion and the APA were filed with the Bankruptcy Court on September 19, 2016 and assigned Docket No.126. The Bankruptcy Court has approved certain bidding procedures in connection with the Sale (the “Bidding Procedures”).
The Debtor is a Florida corporation which operates a full-service commercial and residential landscaping and hardscaping business located in Bradenton, Florida. Prospective purchasers and other interested parties should review the APA, the Sale Motion, the Bidding Procedures, and other relevant documents on file with the Clerk of the Bankruptcy Court and available at www.srbp.com/srbp/case-documents. An auction (the “Auction”) to consider any Competing Bids in respect of the Assets will be held in Tampa, Florida at 1:00 p.m. (Eastern Time) on October 24, 2016 at the offices of Stichter, Riedel, Blain & Postler, P.A, 110 East Madison Street, Suite 200, Tampa, Florida 33602. The Bankruptcy Court will conduct a hearing to consider approval of the Sale Motion, the results of the Auction, if any, and to consider any timely-filed objections thereto, at the Bankruptcy Court, on November 2, 2016 at 9:30 a.m.
