RESOLUTION BY THE BOARD OF DIRECTORS/DEACONS/TRUSTEES OF SARA BAY BAPTIST CHURCH, INC. RECOMMENDING DISSOLUTION OF THE CORPORATION
I hereby certify that I am the duly elected Secretary of SARA BAY BAPTIST CHURCH, INC., a Florida Not-For-Profit Corporation, and that the following is a true and correct copy of a resolution fully adopted at a meeting of the Board of Directors/Deacons/Trustees of the Corporation, held in accordance with the Articles of Incorporation and Bylaws of the Corporation at 7:30 P.M. on the 23rd day of June, 2021 at 415 67th Avenue West, Bradenton, Florida 34207.
WHEREAS, a special meeting of the Board of Directors/Deacons/Trustees of the above Corporation was held in accordance with the Articles of Incorporation and By-Laws of the Corporation to consider the future operation of the corporation.
WHEREAS, on motion made, seconded and unanimously carried, the Board of Directors/Deacons/Trustees recommended that the corporation should be dissolved and a special meeting of the membership should be held on July 25, 2021 at 11:00 AM to consider the advisability of dissolving the corporation.
WHEREAS, on motion made, seconded and unanimously carried, the Board of Directors/Deacons/Trustees recommended the foregoing Plan of Distribution. The Board recommends that the Corporation transfer and irrevocably dedicate any and all of its assets (after satisfaction of any outstanding liabilities and establishing a reserve) to Legacy Baptist Church, Inc., of 415 67th Ave West, Bradenton, FL 34207 as the Board of Directors/Deacons/Trustees has determined that LEGACY BAPTIST CHURCH, INC., is the most appropriate organization to make such dedication as LEGACY BAPTIST CHURCH INC is in agreement with the letter and spirit of Sara Bay Baptist's Inc.'s charitable purpose, its Articles of Incorporation and Bylaws, and is a 501(c)(3) under US Internal Revenue Code 1954 and Florida Statutes 617 et seq. A special meeting of the membership should be held on July 25, 2021 at 11:00 AM to consider the advisability of adoption the Plan of Distribution if the membership elects to dissolve the corporation.
WHEREAS, on motion made, seconded and unanimously carried, the Board of Directors/Deacons/Trustees recommend Articles of Dissolution and Notice of Dissolution should be filed with the Division of Corporations. A special meeting of the membership should be held on July 25, 2021 at 11:00 AM to consider the advisability of filing Articles of Dissolution.
NOW THEREFORE, BE IT RESOLVED Chairman of the Board of Directors/Deacons/Trustees, and Secretary of the Corporation is hereby authorized, empowered and directed, on behalf of the Corporation, to execute any and all documents necessary to carry out the foregoing.
