Memorandum of Contract

KNOWN BY ALL MEN THESE PRESENTS, that Tobi Roberts and/or her assigns, whose address is 13508 South Fair Hill Court, Draper, UT 84020 (the “Buyer”) and Persaud Properties FL Investments, LLC (the “Seller”) whose address is 361 Seminole Way, Fort Myers Beach, FL 33931, entered into a certain Contract for Sale of Real Property with an original effective date of September 3, 2021 and subsequently amended on February 7, 2022 (the “Contract”). The following is significant information relating to the Contract.
A) Description of Property. The Contract was given for consideration and obligates Sellers to sell and Buyer to buy (subject to the conditions outlined in the Contract) the real property in Lee County, Florida, more particularly described as follows (the “Property”):
UNIT NO. 1, SANDY TOES CONDOMINIUM, A CONDOMINIUM, ALL AS SET FORTH IN THE DECLARATION OF CONDOMINIUM AND THE EXHIBITS ATTACHED THERETO AND FORMING A PART THEREOF, AS RECORDED IN OFFICIAL RECORDS INSTRUMENT NO. 2022000017461, AS CORRECTED IN OFFICIAL RECORDS INSTRUMENT NO. 2022000018683 AND ALL AMENDMENTS THERETO, OF THE PUBLIC RECORDS OF LEE COUNTY, FLORIDA. THE ABOVE DESCRIPTION INCLUDES, BUT IS NOT LIMITED TO, ALL APPURTENANCES TO THE CONDOMINIUM UNIT ABOVE DESCRIBED, INCLUDING THE UNDIVIDED INTEREST IN THE COMMON ELEMENTS OF SAID CONDOMINIUM.
INCLUSIVE OF THE PUBLIC RECORDS OF LEE COUNTY, FLORIDA.
Property Address: 3056 Estero Blvd., Fort Myers Beach, FL 33931.
B) Constructive Notice. This Memorandum shall serve as notice of the Contract and of the Buyer's interest and claims in the Property until Buyer, or Buyer's assigns, acquires record title for the property or until this memorandum is terminated by the recording of a written termination, executed by Sellers and Buyer. This Memorandum will be deemed terminated once a deed conveying the Property to the Buyer or Buyer's assignee is recorded in the Public Records. By this memorandum all persons are hereby placed on notice of all terms and conditions set forth in the Contract, and of Buyer's interest in and claim to the Property, pursuant to the Contract. Any person acquiring an interest in the Property while this Memorandum is in effect shall do so subject to the terms and conditions of the Contract and to the Buyer's interest in claims to the Property.
C) No Amendment of Contract. The Contract is incorporated herein by reference. This instrument is intended as Memorandum of the Contract only and has been executed solely for the purpose of giving notice of the parties' respective rights and obligations. This Memorandum is not intended to modify, augment, impair or affect in any way the rights and obligations of the parties under the Contract.
