Pursuant to Sections 610 and 613 of the Florida Uniform Commercial Code (Fla. Stat. §§ 679.610 and 679.613), notice is hereby given that on October 25, 2022 at 10:00 A.M. at Secured Party's terminal facility located at Port Redwing, 5700 Pembroke Road, Gibsonton, FL, 33534, Secured Party will offer for sale to the highest qualified bidder approximately 49,163.303 MT of cement clinker (the “Collateral”) owned by the Debtor. Secured Party was given a first priority security interest in the Collateral by the Debtor. The Collateral will be sold at such price and on such other commercially reasonable terms as Secured Party may determine at the sale. The Collateral may be inspected during normal business hours, by appointment only, at Secured Party's terminal facility by contacting Drew Everett at 941-417-7953.
The above-described Collateral is being sold pursuant to Chapter 679 of the Florida Uniform Commercial Code, and is being sold “as is, where is” and with all faults and without recourse, representation, warranty or guaranty, whether express or implied. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SECURED PARTY EXPRESSLY DISCLAIMS ALL WARRANTIES OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND SECURED PARTY WILL NOT BE LIABLE FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. No descriptions of the Collateral nor any oral statements made by Secured Party, or its agents, employees, representatives, or attorneys, concerning the Collateral shall be construed as a warranty either express or implied. Secured party specifically disclaims any warranty relating to title, possession, quiet enjoyment, or the like in this disposition. The winning bidder shall be responsible to remove the Collateral within 10 days of the sale date and for payment of all transportation and removal costs and expenses of the Collateral.
