NOTICE OF SPECIAL MEETING AND ATTORNEY-CLIENT SESSION
HIGHLANDS COMMUNITY DEVELOPMENT DISTRICT

Notice of a Special Meeting and Attorney-Client Executive Session is hereby given following a request from legal counsel for the Highlands Community Development District (“District”). A Special Meeting and Attorney-Client Session of the District is hereby scheduled to commence at 5:00 PM on August 20, 2025 at the District’s Clubhouse located at 11102 Ayersworth Glen Boulevard, Wimauma, Florida 33598 for the purposes of hearing the District’s Legal Counsels’ request for Board of Supervisors’ advice relating to settlement negotiations and strategy sessions associated with litigation currently pending in Florida’s 13th Judicial Circuit in the following matter: Highlands Community Development District v. Sharper Image Pools, LLC, Case No. 24-CA-009454.

Pursuant to Section 286.011(8), Florida Statutes, the Attorney-Client Session will convene immediately following the opening of the Special Meeting in the District’s Clubhouse. The subject of the Attorney-Client Session meeting shall be confined to the topics allowed by Section 286.011(8), Florida Statutes. It is anticipated that the Attorney-Client Session will last approximately 1 hour but may end earlier than expected or may extend longer. Those individuals who will attend the Attorney-Client Session will be announced at the beginning of the public meeting and include: the District’s Board of Supervisors Kangelia Baxter, Mark Bouthot, Trang Chu, and Orlando Echevarria; the District’s legal counsel Daniel P. Lewis and R. Marshall Rainey; the District Manager Kristee Cole; and the Court Reporter. One or more Board members may participate by teleconference or videoconference.

A certified court reporter will be in attendance and will record the entire closed session. A transcript shall be made part of the public record upon conclusion of the pending litigation. At the conclusion of the Attorney-Client Session, the Special Meeting will be reopened to the public, the Attorney-Client Session’s termination shall be announced, and the District may consider any business of the District.
