NOTICE OF SPECIAL MEETING AND OF PRIVATE
ATTORNEY-CLIENT SESSION
Notice is hereby given that the Board of Supervisors (“Board”) of Clearwater Cay Community Development District (“District”) has scheduled a special meeting on August 28, 2025 at 7 p.m., at the Grand Venezia at Baywatch Clubhouse, 2704 Via Murano, Clearwater, FL, for the purpose of discussing pending litigation and, if requested by the attorney, the Board will meet in private with the District’s attorneys in accordance with Section 286.011(8), Florida Statutes. If requested by the District’s attorney, the attorney-client session will be held to discuss strategy related to the pending litigation in the US Bank Trust Company National Association v. Clearwater Cay Community Development District civil action no 8:23-cv-00835-MSS-SPF and/or the pending litigation in the Grand Venezia COA, Inc., v. Clearwater Cay Community Development District, et al., No. 160001584-CI.
The Special Meeting may be continued to a date, time, and place approved by the Board on the record without additional publication of notice. The attorney-client session, which is closed to the public, is being held pursuant to Section 286.011(8), Florida Statutes. The following persons are anticipated to be in attendance at the attorney-client session: Supervisors Alan Glidden, Anthony Anastasio, Jeff Wilson, Lisa Donini, and Shane Butcher; District Manager Calvin Teague; District Counsel Daniel Molloy, Litigation Counsel Dale Scott, and a court reporter. The attorney-client session is expected to last approximately one hour but may be terminated early or extended longer. The entire closed session shall be recorded by a certified court reporter. The court reporter shall record the times of commencement and termination of the session, all discussion and proceedings, the names of all persons present at any time and the names of all persons speaking. No portion of the session shall be off the record. The court reporter’s notes shall be fully transcribed and filed with the District’s Records Administration Department within a reasonable time after the meeting. However, the transcript will not be public record until conclusion of the litigation. At the conclusion of the closed session, the meeting shall be reopened and the person chairing the meeting shall announce the termination of the closed session. The Board may take action thereafter at its publicly noticed meeting.
